1. Agreement to These Terms
These Terms of Service (the "Terms") are an agreement between you and Digital Chick LLC, ("we", "us"). By joining the Digital Showrunner community, paying for membership, or otherwise participating, you agree to these Terms. If you do not agree, please do not join.
The community is hosted on Heartbeat, a third-party platform. Your use of the Heartbeat software is also governed by Heartbeat's own terms and privacy policy. Heartbeat is not a party to these Terms and is not responsible for our community's content, programming, or payments.
2. Eligibility
You must be at least 18 years old and able to enter into a binding agreement. If you join on behalf of an organization, you confirm that you are authorized to bind it to these Terms.
3. Your Account and Access
Your membership is personal to you. Do not share your login, transfer your seat, or let anyone else use your access.
You are responsible for everything that happens under your account and for keeping your login information secure. Tell us promptly if you believe your account has been compromised.
Access covers the spaces, channels, courses, and events included in your membership. We may add, change, or retire parts of the community over time.
4. Membership, Fees, and Billing
The plans, prices, and billing periods that apply to you are the ones shown at checkout. Taxes may be added where required.
Payments are processed by Stripe.
If a payment fails, we may retry it and may pause or end your access until payment succeeds.
We may change prices for future billing periods. We will give you notice before a new price applies to you, and you can cancel if you do not want to continue.
5. Cancellation and Refunds
Payments are non-refundable for periods already started, except where the law requires a refund or where we agree to one in writing.
If we close the community or end your membership for a reason other than a breach of these Terms, we will refund the unused portion of your current billing period.
6. Community Rules and Acceptable Use
You agree to follow our Code of Conduct and any posted community guidelines, which are part of these Terms. You agree not to:
break the law, infringe anyone's rights, or post content you do not have the right to share;
harass, threaten, impersonate, or discriminate against anyone;
spam members, send unsolicited sales pitches or recruiting messages, or collect member names, emails, or other details for use outside the community;
share, resell, republish, or use for AI training any community materials — including course lessons, recordings, templates, and other members' posts — outside the community;
record, screenshot, or repost private discussions or events without the permission of the people involved;
upload malicious code, attempt to breach or overload the platform, or use automated tools to scrape the community.
7. Content and Licenses
Your content. You keep ownership of what you post. You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and share your content within the community as needed to operate it, and to keep copies in backups and in existing event recordings. We will ask you first if we want to feature your content outside the community, such as in marketing.
Our content. Courses, lessons, recordings, worksheets, and other materials we provide remain ours (or our licensors'). We grant you a personal, non-transferable license to access and use them for your own purposes while your membership is active. That license ends when your membership ends.
Other members' content. Content posted by other members belongs to them. Treat what you read in the community — especially in private channels, direct messages, and member-only events — as confidential unless the person who shared it says otherwise.
Feedback. If you send us suggestions about the community, we may use them without obligation to you.
8. Live Events, Recordings, and Transcripts
Our events may be recorded, transcribed, and shared afterward with members. By joining an event with your camera, microphone, screen share, or chat, you agree that your participation may be captured in those recordings and transcripts and made available to current and future members. If you do not want to appear in a recording, keep your camera and microphone off, or let us know before the event.
9. No Professional Advice; No Guaranteed Results
Digital Showrunner provides education, strategic guidance, group coaching, and peer discussion related to content, media, branding, and business strategy. Results will vary based on your experience, business, audience, execution, and other factors outside our control. We do not guarantee any specific outcome, including audience growth, revenue, sales, views, subscribers, or business results. It is not legal, medical, financial, or therapeutic advice, and it does not create a professional-client relationship. Nothing said by us, by a guest, or by another member is a substitute for advice from your own qualified professional. The program provides guidance, frameworks, feedback, and support, but you are responsible for implementing the work and making decisions for your own business. Any examples or member results we share are illustrative, not promises.
10. Suspension and Termination
We may suspend or end your access if you breach these Terms or our Code of Conduct, if your payment fails, or if we reasonably believe your conduct puts other members at risk. Where circumstances allow, we will warn you first and give you a chance to respond before removing your access.
If your membership ends for any reason, you lose access to the community and its materials, including any downloads still in progress. Fees already paid are handled under Section 5. You may also close your account at any time.
11. Disclaimers
The community is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free, or free of harmful content, and we are not responsible for outages or data loss caused by the hosting platform or other third-party services. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
13. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and reasonable costs arising from your content, your conduct in the community, or your breach of these Terms.
14. Privacy
We handle your personal information as described in our privacy policy, which we will provide on request at hello@digitalchicktv.com. Running the community involves sharing your information with service providers such as our hosting platform and payment processor.
15. Changes to These Terms
We may update these Terms. We will post the updated version in the community and give members reasonable notice of material changes. Changes take effect thirty days after we post them, or at your next renewal, whichever comes first. If you keep participating after that, you accept the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of United States, and disputes will be handled by the courts located there. Before starting a formal dispute, please contact us at hello@digitalchicktv.com so we can try to resolve it directly.
17. General
These Terms, together with our Code of Conduct and any policies we reference, are the entire agreement between us about the community. If a provision is unenforceable, the rest still applies. Our not enforcing a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours as part of a merger, acquisition, or sale of the community, with notice to you. Sections about content licenses we grant, disclaimers, liability, and indemnification survive the end of your membership.
